These Terms and Conditions govern your access to and use of our website, services, and products. By visiting our site or engaging our services, you agree to comply with and be bound by the following terms. Please read them carefully.

1. Use of Our Website

By accessing our website, you agree not to misuse the site or use it for any unlawful purpose. You may not reproduce, duplicate, copy, sell, or exploit any portion of the site or its content without our express written permission.

2. Eligibility to Purchase

Our services are available to registered businesses, designers, and brand owners. You must be at least 18 years old and authorized to enter into binding agreements on behalf of your business or organization.

3. Orders & Production

  • Communication & Updates:
    We are committed to clear and timely communication. If there are any modifications, unavailable materials, or unexpected changes during the production process, we will inform you as soon as possible. While some issues may be beyond our control, you will always be kept in the loop, and we will do our best to offer solutions or alternatives whenever possible.

 

  • Minimum Order Quantity (MOQ):
    All production orders are subject to a minimum quantity, which will be disclosed during the quoting and sampling stage.

 

  • Production Timeline:
    Estimated lead times are provided once final samples and approvals are completed. While we strive to meet agreed deadlines, certain factors—such as material shortages, shipping delays, labor disruptions, or force majeure events—may impact production schedules. In such cases, we will promptly notify you of any delays or changes and keep you informed throughout the process.

 

  • Sampling:
    Sampling fees may apply and are non-refundable. We require written approval of samples before full production begins.

 

4. Pricing & Payment

  • Quotes & Invoices:
    All prices are quoted in U.S. Dollars (USD), excluding shipping and customs unless otherwise stated. 
  • Payment Terms:
    Production begins upon receipt of deposit (typically 50%). The balance is due prior to shipment unless alternate terms have been agreed upon in writing.
  • Late Payments:
    Unpaid balances may result in delayed shipments and are subject to additional fees.

5. Shipping & Delivery

We ship internationally from our facility in Vietnam. Once goods are handed over to the carrier, we are not liable for any damage, delay, or loss during transit.

Customs & Import Duties:
Buyers are responsible for any applicable U.S. customs fees, taxes, or import duties.

6. Quality Assurance & Returns

We follow strict quality control processes throughout production. All goods are inspected before shipment.

Claims:
All issues or claims must be reported within 7 days of delivery. Claims must include photos and detailed descriptions.

Returns:
As a B2B manufacturing partner, we do not accept returns for custom-made items unless the goods are proven to be defective or not made according to approved specifications. 

7. Intellectual Property

You retain full ownership of any original designs, logos, and branding you provide to us. However, you grant us the right to use your materials solely for the purpose of manufacturing your products.

We reserve the right to use generic samples or non-branded versions of your garments in our private portfolio unless you explicitly request otherwise in writing. 

8. Confidentiality

We respect your privacy and confidentiality. All designs, technical packs, and brand materials shared with us will remain confidential and will not be shared with third parties without your permission.

9. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages resulting from your use of our services. Our maximum liability shall not exceed the total amount paid for the specific order in question.

10. Order & Account Termination

We reserve the right to suspend or terminate any order, project, or account at our sole discretion under the following conditions:

  • Non-Payment: If the client fails to make required deposits, settle final balances, or fulfill any agreed-upon payment obligations within the agreed timeframe, we may cancel the order without further notice.

  • Failure to Respond: If the client becomes unresponsive for more than 30 consecutive days during any phase of the order — such as development, sampling, approval, or production — we reserve the right to place the order on hold or permanently terminate.

  • Abandoned Goods: If completed orders are not paid for or arranged for shipping within 60 days of final notification, we reserve the right to dispose of, resell, or repurpose the goods. Deposits and prior payments will not be refunded in such cases.

  • Breach of Terms: Any violation of these Terms and Conditions – including fraudulent activity, failure to provide verifiable information, or actions that may result in financial or legal risk to our company — may result in immediate suspension of our service as well as your account, termination of your order, and forfeiture of any deposit paid. 

We will make reasonable efforts to contact the client via the contact methods provided prior to holding and/or terminating an order, but we are not obligated to reinstate any canceled order or account once terminated. You remain responsible for all charges, balances, or costs incurred prior to termination. 

11. Changes to These Terms

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after such changes constitutes your acceptance.

12. Your Consent

By accessing our website, submitting an inquiry, placing a production order, or engaging in any business with Anava Threads, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other guidelines or policies referenced herein.

You also consent to the collection, processing, and storage of your information as outlined in our Privacy Policy, including any international transfers necessary to facilitate our services.
